    CK Birla Healthcare Acquires Majority Stake In Asian Reproductive Centre & Thrissur Repro Health Care

    CK Birla Healthcare, operating under Birla Fertility and IVF, has announced its proposed acquisition of a majority stake in the Asian Reproductive Centre and Thrissur Repro Health Care. In a press statement on Saturday, the company informed that the acquisition, facilitated through a combination of primary subscription and secondary purchase, marks a significant expansion for the company across Kerala, Karnataka, and Tamil Nadu.

    Upon completion of the transaction, Repro Health Care Mangalore and Salem IVF Centre will transition into wholly owned subsidiaries of Asian Reproductive Centre. With this acquisition, CK Birla Healthcare is set to elevate its nationwide presence with a total of 37 outlets across India.

    The core advisory team spearheading this acquisition included Kapish Mandhyan and Shourya Sengupta as Partners, supported by Sneh Lata and Tanya Singh Shah. A comprehensive diligence team, comprising Arka Banerjee Choudhury, Madhav Chandan, and Devyani Modi, ensured meticulous examination of the involved entities.

    Key legal aspects of the deal were overseen by experts in various fields. Aditi Sharma and Anushka Venketram handled ART law considerations, while Deepak Kumar, Archika Dudhwewala, Ransher Singh, and Sidheswar Sahoo navigated the complexities of employment law. Nirupam Lodha and Shivangi Narang managed intellectual property law aspects, while Supratim Chakraborty, Sumantra Bose, and Shramana Dwibedi addressed data privacy concerns.

    The firm provided extensive support throughout the transaction, advising on structuring, conducting due diligence, and drafting, reviewing, and finalising various transaction documents, including share purchase agreements, shareholders’ agreements, and consultancy agreements.
